Website Terms of Use

These Website Terms of Use ("Terms") govern your access to and use of www.queenedpartners.com (the "Site"), operated by Queen Education Partners LLC ("Queen Education Partners," "QEP," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site provides general information about QEP, its consulting and professional-learning services, the 22nd Century Learning Framework, In Human Terms, and related research, writing, and collaborative opportunities.

Site content is provided for general informational and educational purposes. It is not a substitute for advice tailored to a particular school system, organization, legal matter, policy decision, or professional circumstance.

2. No Consulting Relationship

Visiting the Site, reading Site content, subscribing to external publications, or contacting QEP does not create a consultant-client, advisory, fiduciary, or other professional relationship. A consulting relationship exists only when QEP and a client enter into a separate written agreement.

Any consulting engagement, deliverable, fee, cancellation term, confidentiality obligation, intellectual-property arrangement, or other project requirement will be governed by that separate agreement, not these Website Terms.

3. Intellectual Property

Unless otherwise stated, the Site and its original content—including text, research frameworks, graphics, branding, logos, page designs, downloads, and other materials—are owned by or licensed to Queen Education Partners LLC and are protected by applicable intellectual-property laws.

You may access and share links to publicly available Site pages for personal, educational, or noncommercial professional reference. You may quote brief portions of Site content with clear attribution and a link to the original page.

Without prior written permission, you may not:

reproduce or republish substantial portions of Site content;

sell, license, or commercially exploit Site materials;

remove copyright, attribution, or proprietary notices;

present QEP content, frameworks, or graphics as your own;

use Site content to create a competing publication, product, training, or service; or

use QEP's name, logo, or branding in a way that suggests sponsorship, endorsement, or affiliation.

4. Research and Developing Ideas

Some Site content presents research in progress, working theories, emerging frameworks, commentary, or forward-looking analysis. These materials may evolve as new evidence, perspectives, and conditions emerge. QEP does not represent that developing ideas are final, exhaustive, or suitable for direct application in every context.

Readers are responsible for evaluating content in light of their own circumstances and professional responsibilities.

5. Acceptable Use

You agree not to:

use the Site for unlawful, fraudulent, abusive, or harmful purposes;

interfere with the Site's operation, security, or availability;

attempt to gain unauthorized access to the Site or related systems;

introduce malicious code, automated attacks, or disruptive technologies;

scrape, harvest, or systematically extract Site content or visitor information without permission;

impersonate QEP or another person or organization; or

use the Site in a manner that infringes the rights of QEP or any third party.

6. Messages and Other Submissions

If you send an inquiry, idea, resource, feedback, or collaboration proposal through the Site, you represent that you have the right to share it. Do not send confidential, proprietary, student-identifiable, or legally protected information through the Site unless QEP has expressly agreed in writing to receive it through an appropriate method.

Submitting unsolicited feedback or an idea does not obligate QEP to review, use, compensate, or keep it confidential. This provision does not override a separate written confidentiality agreement.

7. Third-Party Links and Services

The Site may link to third-party websites and services, including Substack and social media platforms. Links are provided for convenience and do not necessarily constitute endorsement. QEP does not control and is not responsible for third-party content, availability, security, privacy practices, or terms. Your use of third-party services is governed by their policies.

8. No Warranties

To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied. QEP does not warrant that the Site will be uninterrupted, error-free, secure, complete, current, or suitable for a particular purpose.

Although we aim to provide thoughtful and accurate information, we do not guarantee that every statement, link, source, or description will remain complete or current.

9. Limitation of Liability

To the fullest extent permitted by applicable law, QEP and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, inability to use, or reliance on the Site or its content.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless QEP and its owners, employees, contractors, and agents from claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Site, your violation of these Terms, or your infringement of another party's rights.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute relating to the Site or these Terms will be handled in a court of competent jurisdiction, subject to applicable law.

12. Changes to the Site or These Terms

We may modify, suspend, or discontinue any part of the Site and may update these Terms periodically. Updated Terms will be posted on this page with a revised effective date. Continued use of the Site after an update constitutes acceptance of the revised Terms.

13. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure by QEP to enforce a provision does not waive the right to enforce it later.

14. Entire Agreement for Website Use

These Terms and the Privacy Policy constitute the entire agreement between you and QEP regarding use of the Site. They do not replace or amend any separate written consulting, speaking, licensing, confidentiality, or services agreement.
